1. Agreement to Terms
These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity and Krishna Creations, concerning your access to and use of our web design, development, and hosting services. You agree that by accessing our Services, you have read, understood, and agreed to be bound by all of these Terms.
2. Intellectual Property Rights
Unless otherwise indicated, the Site and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein are owned or controlled by us.
Upon final and unencumbered payment of all project invoices, Krishna Creations transfers the commercial usage rights of the designed website frontend to the Client. However, proprietary framework infrastructure, raw pre-compiled CMS codes, and reusable component libraries natively built by us remain the intellectual property of Krishna Creations.
3. Client Obligations
By engaging in a contract with us, you represent and warrant that:
- You have the legal capacity to comply with these Terms of Service.
- You will promptly provide all necessary assets (copywriting, high-resolution logos, product photography) required for us to fulfill the development timeline.
- Any assets you provide to us do not infringe upon the copyrights, trademarks, or intellectual properties of third-party entities.
4. Fees and Payment
We construct development pipelines in milestone-based increments. Unless otherwise specified in a signed Contract Proposal:
- A non-refundable 50% architectural deposit is strictly required before any wireframing or coding commences.
- The remaining 50% balance must be settled immediately upon domain launch or the handover of the master repository files.
If payment is actively withheld or delayed beyond 15 calendar days post-deployment, we reserve the right to suspend the website's hosting infrastructure until the balance is completely cleared.
5. Revisions & Timelines
We pride ourselves on rapid engineering, but turnaround times are heavily dependent on immediate client feedback. Our standard web packages strictly include two (2) consolidated rounds of major revisions during the wireframe phase.
Once structural design is approved and backend coding commences, structural design changes may incur additional hourly architectural fees at standard agency rates.
6. Cancellation & Refunds
Due to the irreversible manual labor and infrastructure costs dedicated instantly upon project initialization, the initial 50% technical deposit is strictly non-refundable.
If you choose to cancel a project mid-development, any completed work milestones up to that current date will be compiled, invoiced accurately, and billed prior to the final termination of the contract.
7. Limitation of Liability
In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site or the services delivered.
8. Governing Law
These Terms shall be governed by and defined following the laws of India. Krishna Creations and yourself irrevocably consent that the courts of Lucknow, Uttar Pradesh shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
